Terms & Conditions

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and DAISYS LLP ("we", "us", "Company"), governing your access to and use of the Daisy's.live platform (accessible at daisys.live).

By creating an account, purchasing a subscription, or using any features of Daisy's.live, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform.

• "Platform" refers to the Daisy's.live web application, including all pages, features, APIs, and services.
• "Study Room" refers to the virtual 3D rooms where users study together.
• "Monthly Pass" refers to the paid subscription that grants access to study rooms and premium features.
• "Focus Time" refers to the tracked duration during which a user is detected as present at their screen.
• "Leaderboard" refers to the weekly ranking of users by focus time within their exam category.
• "Rewards" refers to physical or digital items awarded to top weekly performers.

• You must be at least 13 years of age to use this platform.
• Users between 13 and 18 years of age must have parental/guardian consent.
• You must provide accurate, current, and complete information during registration.
• Your username must be unique, appropriate, and not impersonate another person or entity. We reserve the right to reclaim or remove offensive, misleading, or trademarked usernames.
• You are solely responsible for maintaining the confidentiality of your account credentials and all activities under your account.
• You must notify us immediately if you suspect unauthorized access to your account.
• One person may maintain only one account. Creating multiple accounts for leaderboard manipulation is grounds for immediate termination.

• Access to study rooms, focus tracking, and leaderboard participation requires an active monthly pass.
• Passes are valid for 30 calendar days from the date of purchase.
• Payments are collected by direct UPI transfer to our account. After paying, you submit your UPI transaction reference (UTR) and we verify it against our bank statement before activating your pass. Verification is usually completed within a few hours.
• Submitting a payment reference does not by itself grant access. Access begins once we have confirmed the corresponding credit in our account.
• Submitting a false, duplicate, or unrelated payment reference may result in account restriction.
• All prices are displayed in Indian Rupees (INR) and include applicable taxes unless stated otherwise.
• Passes are non-refundable once activated, except where required by applicable Indian consumer protection law.
• If a pass purchase fails due to a technical error and your account is charged, contact us within 7 days for resolution.
• We reserve the right to change pricing with at least 30 days advance notice. Active passes remain valid at the purchased price until expiry.
• Free trial periods, if offered, are limited to one per user. Abuse of trial periods may result in account restriction.

You agree to use Daisy's.live only for its intended purpose: studying, academic collaboration, and peer motivation. Specifically, you agree not to:

• Use the platform for any non-academic, commercial, or illegal purpose.
• Harass, bully, threaten, or send inappropriate or hateful messages to other users.
• Share sexually explicit, violent, or offensive content through chat or profile features.
• Attempt to manipulate focus tracking, leaderboard rankings, or reward eligibility (e.g., using scripts, fake presence, multiple accounts).
• Share your account credentials with others or allow others to use your account.
• Upload inappropriate, offensive, or copyrighted profile photos.
• Scrape, crawl, or use automated tools to access platform data.
• Attempt to reverse-engineer, decompile, or exploit vulnerabilities in the platform.
• Impersonate another user, admin, or any person or entity.
• Distribute spam, advertisements, or promotional material through chat or any other feature.

• Study rooms are shared virtual spaces. Users are expected to maintain a respectful and focused environment.
• Chat messages in rooms should be study-related, supportive, or appropriately social. Off-topic or disruptive messages may be moderated.
• Private rooms are visible only to invited members. Invitations cannot be transferred.
• We reserve the right to monitor, moderate, or remove content and users that violate these terms without prior notice.
• Room occupancy is limited. We do not guarantee seat availability at any given time.
• Focus tracking requires an active camera feed processed on your device. Covering, obstructing, or spoofing the camera to inflate focus time is prohibited.

• Weekly leaderboards rank users by verified focus time within their exam category.
• Leaderboards reset every Sunday at midnight IST.
• Rewards are awarded to the top-ranked users each week at our discretion.
• Reward type, quantity, and eligibility criteria may change without notice.
• Users found manipulating focus time or rankings will be disqualified and may be banned.
• Rewards are shipped to Indian addresses only. Winners must provide a valid shipping address within 7 days of notification.
• We are not responsible for delivery delays caused by third-party courier services.

All content, code, designs, graphics, logos, 3D assets, animations, and trademarks on the Daisy's.live platform are owned by DAISYS LLP and protected under Indian intellectual property law. You may not copy, reproduce, distribute, or create derivative works without our written permission.

You retain ownership of content you create (profile data, chat messages, uploaded photos). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to display it within the platform for its intended purpose (e.g., showing your profile photo to other users).

• We may suspend or terminate your account immediately if you violate these Terms, without prior notice or liability.
• Grounds for termination include but are not limited to: leaderboard manipulation, harassment, spam, illegal activity, or multiple violations of acceptable use policy.
• Upon termination, your access to all features ceases immediately. Active passes are not refunded upon termination for violations.
• You may delete your account at any time by contacting support. Account deletion is processed within 30 days.
• We may suspend the platform temporarily for maintenance, updates, or unforeseen technical issues without liability.

Daisy's.live is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

• We do not guarantee uninterrupted, error-free, or secure access to the platform.
• We do not guarantee that focus tracking is 100% accurate in all lighting and device conditions.
• We do not guarantee academic results or exam outcomes from using the platform.
• We are not responsible for internet connectivity issues on your end.

To the maximum extent permitted by applicable law, DAISYS LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of study data or focus time records.
• Loss of leaderboard position or reward eligibility.
• Account suspension or termination.
• Service interruptions or downtime.
• Actions of other users on the platform.

Our total liability for any claim arising from your use of the platform shall not exceed the amount you paid us in the 3 months preceding the claim.

You agree to indemnify and hold harmless DAISYS LLP, its partners, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms, misuse of the platform, or infringement of any third-party rights.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or an in-app notification at least 14 days before the new terms take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

If you disagree with the updated Terms, you may delete your account before the effective date and discontinue use.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or the use of the platform shall be subject to the exclusive jurisdiction of the courts in India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
